Terms of Service

Welcome to Ordalvek. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ordalvek ("Company," "we," "our," or "us"). By accessing, registering for, browsing, or utilizing the Ordalvek algorithmic trading platform, website, application programming interfaces (APIs), and related software services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms in their entirety, you are strictly prohibited from accessing or using the Platform and must immediately discontinue all use.

1. Eligibility and User Representations

To access or use Ordalvek, you must satisfy the following criteria and represent and warrant that:

  • You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction of residence;
  • You possess the legal capacity, power, and authority to enter into these Terms and comply with all applicable local, state, federal, and international laws;
  • You are not a resident of, or located in, any geographic territory or jurisdiction subject to comprehensive trade sanctions administered by the United States Office of Foreign Assets Control (OFAC) or other applicable governmental regulatory agencies;
  • You have not previously been suspended, banned, or removed from utilizing the Ordalvek Platform.

2. Description of Services & Software Functionality

Ordalvek provides non-custodial software tools, mathematical models, machine learning analysis, algorithmic execution indicators, and computational analytical frameworks designed to assist users in tracking, evaluating, and automating digital asset trading operations. Ordalvek is a software provider and financial technology platform; it is not a registered investment adviser, broker-dealer, commodity trading advisor (CTA), money services business (MSB), or custodian under United States federal or state laws.

The Platform provides algorithmic market intelligence and automated connectivity to third-party cryptocurrency exchanges via user-generated API keys. We do not hold custody of your digital assets, fiat currencies, or private keys.

3. Account Registration and Security

To utilize specific algorithmic execution features, you may be required to register an account. You agree to provide accurate, current, and complete information during registration and maintain the confidentiality of your account credentials, passwords, and multi-factor authentication (MFA) tokens. You are solely responsible for all activities and transactions executed under your credentials, whether authorized by you or not. You must promptly notify Ordalvek of any unauthorized account compromise or security vulnerability.

4. Prohibited Uses

You agree that you shall not use the Platform to:

  • Violate any applicable national, state, local, or international statutory regulation or ordinance;
  • Engage in illegal market manipulation, spoofing, wash trading, front-running, or fraudulent transactions;
  • Circumvent, disable, or tamper with security protocols, rate-limiting rules, or platform access restrictions;
  • Deploy automated scripts, bots, spiders, or scrapers in a manner that degrades, overwhelms, or interferes with Platform performance;
  • Reverse-engineer, decompile, disassemble, or extract proprietary algorithms, source code, or predictive weights belonging to Ordalvek.

5. Intellectual Property Rights

All intellectual property rights in the Ordalvek Platform—including without limitation algorithmic source code, user interface designs, mathematical formulas, trademarks, graphics, audio, logos, and patents—are the exclusive property of Ordalvek or its licensors. Subject to your strict compliance with these Terms, Ordalvek grants you a revocable, non-exclusive, non-transferable, non-sublicensable limited license to access and use the Platform for your personal or internal business trading activities.

6. Disclaimers of Warranties

THE PLATFORM AND ALL RELATED SERVICES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ORDALVEK EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE EXECUTION, NOR DO WE WARRANT THAT MARKET DATA OR ALGORITHMIC SIGNALS WILL BE COMPLETE, ACCURATE, OR TIMELY.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL ORDALVEK, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF TRADING PROFITS, CAPITAL LOSSES, LOSS OF DATA, SYSTEM DOWNTIME, OR LIQUIDATION EVENTS ARISING FROM MARKET VOLATILITY, THIRD-PARTY EXCHANGE OUTAGES, OR NETWORK DELAYS. IN ALL CASES, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ORDALVEK IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Ordalvek, its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use or misuse of the Platform, your violation of these Terms, or your infringement of any third party's legal rights.

9. Dispute Resolution and Governing Law

These Terms and any controversy or dispute arising out of or related thereto shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts and the United States, without giving effect to any conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts situated in Boston, Massachusetts, and you irrevocably submit to the personal jurisdiction of such courts.

10. Modifications and Termination

We reserve the right to revise or modify these Terms at any time. When modifications occur, we will update the "Effective Date" at the top of this document. Continued use of the Platform following published modifications constitutes full acceptance of the revised Terms. We reserve the right to suspend or terminate your access at our sole discretion, without prior notice, for conduct violating these Terms.
